Terms, Conditions, and Agreement between:

LongboardDirectory.com c/o "CR Longboards" and

The LongboardDirectory Store (from this point on referred to as "Store") agrees to attempt to sell items online belonging to the Manufacturer, Distributor, Dealer, Representative or Agent (from this point on referred to as "Supplier"), on a value-added, drop-ship re-seller system. Definition: "Value Added Re-Seller" (VAR) means that the Store sells items for the agreed retail price, and then transfers the agreed supplier cost amount back to the Supplier. This creates an acceptable profit margin for the Store in exchange for a larger volume of sales, exposure and marketing for the Supplier. Both parties benefit from an increase in profits. Definition: "Drop-Ship" means that when the order takes place on the Store's website/commerce system, the customer/order information and supplier cost is immediately transferred to the Supplier, whose responsibility is then to ship the purchased goods to the customer, fulfill the obligations of any warranties or similar details surrounding the item, and ensure the product's arrival. Turn-around Conditions: Store will transfer all customer information (address, name, etc.) and agreed supplier cost (dealer price) to Supplier within 24 hours of purchase; via email and PayPal accounts. Store will ALSO transfer all appropriate Supplier contact information to the customer within 24 hours of purchase. Supplier will then confirm it's receipt of this information by responding via email, which must occur no later than 2 business days from Store's transmission of information. If Supplier is selling ready-made items via Store, all purchased items MUST be shipped out within 3 (Three) business days of purchase. To clarify, this is 1 (One) business day after the Supplier's required confirmation of ordering info sent by Store. If Supplier is selling custom-made items, or items that are built-to-order via Store, all purchased items MUST be shipped out within 10 (Ten) business days of purchase. To clarify, this is 8 (Eight) business days after the Supplier's required confirmation of ordering info sent by Store. Definition: A "Business Day" includes Monday to Friday, and excludes statuatory holidays in your appropriate region. Shipping Conditions Supplier will ship all goods with an adequate amount of protective packaging/padding, so as to ensure the maximum possible protection of goods shipped. All items shipped by Supplier must be insured by the shipping company/agent for no less than the retail selling price (what the customer paid Store). This is to ensure that an appropriate refund is available to the customer if goods are lost or damaged in transit. (See "Transaction Policies" below for more details on refunds). Valid tracking information must be available for the shipped item, and must be sent to Store via email within 48 hours of the item being shipped to the customer. Transaction Policies All transactions will be in the form of US Dollar currency. All transactions between Store and Supplier will be conducted via PayPal, and PayPal only. Refunds: Under normal circumstances, NO refunds will be issued by Store whatsoever, nor is it the responsibility of Store to do so if Supplier breaches this agreement in any way. Exceptions: Store will ONLY issue refunds if customer cancels the order before "dealer cost" is transferred to Supplier; Or, if Supplier cancels VAR partnership due to emergency before "dealer cost" on order is transferred to Supplier. Details: No Refunds are available for correct items received in good order by customers from Supplier. Supplier is responsible for issuing or arranging a full refund (retail price plus shipping cost as sold by Store) to the customer for lost or damaged items; this is why Supplier is required to insure item for retail value under "Shipping Conditions". If Supplier is unable to ship the purchased goods within the agreed timelines (see "Turn-around Conditions"), a full refund (retail price plus shipping cost as sold by Store) will be issued by Supplier to the customer, at the customer's discretion. If Supplier ships incorrect goods to the Customer, or if the purchase order and the received goods conflict in any way, the Customer is entitled to a full refund (retail price plus shipping as sold by Store), at the Customer's discretion. If Supplier ships goods in an incorrect fashion (ie. shipping "surface" when the customer ordered "air"), Supplier must do the following: a) Refund the Customer for the difference of the shipping charge b) Refund the customer 50% of the full retail price of the item as sold by Store. If the customer opts to forgive the timeline violation or incorrect shipment by the Supplier and chooses to wait, receive a partial refund, and/or negotiate for free items, discounts or voutures in addition to the purchased order, it is the Supplier's responsibility to make whatever amends necessary to ensure a peaceful and satisfactory transaction for the customer; between Supplier and Customer. If the customer does not forgive the timeline violation or incorrect shipment, Supplier must issue Customer a full refund (final price including shipping as sold by Store) in whichever format the customer chooses. If the Supplier fails to ship the purchased goods to the customer altogether, the Supplier must refund the customer in full (price as sold by Store) in whichever format the customer chooses. Supplier will then be removed from Store's inventory, as well as the LongboardDirectory corporate directory links, for intentional breach of contract; this will be carried out at Store's discretion. Legal action may be taken if the situation is severe. All refunds to be paid by the Supplier MUST be paid within 3 business days of the violation or condition that constitutes a refund for the customer. Violation of this condition may be penalized by legal action. Product Changes: Conditions and Protocol Supplier must inform Store of any and all product changes (design, price, availability, production method, location, etc.) within 5 business days of initiating such changes. Details and Conditions of VAR Partnership VAR selling agreement between Store and Supplier will remain in effect indefinitely unless canceled by either Store, or Supplier. If Supplier wishes to cancel VAR relationship with Store, Supplier must notify Store of this intention within 5 business days of VAR termination Likewise, Store will notify Supplier within 5 business days of any intention to cancel a VAR relationship within normal circumstances. This does not include breach of contract by Supplier, or special conditions (see "Special Conditions" below). Furthermore, Store reserves the right to cancel any and all VAR relationships, at its sole discretion, if it appears as though a Supplier is being unreliable or deceptive towards either Store or any customers. Media Materials/Information Release Agreement Supplier gives Store publishing rights to all transferred images, marketing materials and documentation for the purpose of selling the appropriate items online. Supplier also agrees that Store may manipulate such materials, and add to them with its own material or content, for the purpose of creating a higher sales conversion rate. Special Conditions If either Store, Supplier or Customer experiences an emergency or inevitable situation beyond its control which legitimately prevents the shipment, reception or otherwise completion of the transaction (or VAR partnership as a whole), reasonable steps shall be taken to resolve the situation by both Store and Supplier, if possible, with the customer being the primary focus of the effort, if applicable and within logical reason. Legal Implications/Considerations If Store encounters any unlawful actions committed by either Supplier, associates of Supplier or customers, all such activity and all details of such shall be immediately forwarded to the appropriate local authorities.This shall be done in due diligence, so as to fulfill Store's civil duty as a law-abiding company. All entities involved in any of the stages of this agreement are entirely responsible for their own actions. Store will accept absolutely no responsibility for the actions of any of its Suppliers, associates or customers. This Agreement is to be considered legally binding, and will be produced if any legal proceedings are necessary. IF THIS CONTRACT IS VIOLATED IN ANY WAY BY SUPPLIER, SUCH AS PURPOSEFULLY WITHHOLDING REFUNDS OR PRODUCTS FROM CUSTOMERS, DEFAMATION OR ABUSE OF STORE'S IMAGE, WEB PRESENCE OR INTELLECTUAL PROPERTY, ELECTRONIC FRAUD, OR OTHERWISE COMMITTING A DIRECT VIOLATION AS APPLICABLE TO THIS AGREEMENT, STORE WILL EMPLOY ANY AND ALL TACTICS NECESSARY TO THE EXTENT OF ITS RESOURCES TO ENSURE THE FAIR TREATMENT OF CUSTOMER(S) AND THE PRESERVATION, PROTECTION AND UPHOLDING OF ALL RIGHTS RESERVED BY STORE (LONGBOARDDIRECTORY.COM C/O CR LONGBOARDS AND ALL OF ITS AFFILIATES). NO VIOLATION OR BREACH OF THIS CONTRACT WILL BE TOLERATED. ANY SUCH VIOLATION OR BREACH WILL BE RESOLVED THROUGH LEGAL INTERVENTION AS SEVERE AS NECESSARY TO FAIRLY RESOLVE ANY SUCH SITUATION. To convey the above all-caps message plainly, withholding refunds/owed merchandise from customers, damaging Store's reputation or otherwise committing a severe violation of this nature will result in a full retaliatory legal response from Store. If you decide to violate this agreement, you will NOT "get away" with it, and you be forced to face the consequences of your offenses in full. Furthermore, Store reserves the right to publish or announce truthfully the violation of any part of this agreement to explain the absence of online store inventory, or to warn customers from interaction with a deceptive company that may be seeking to effectively steal from unknowing customers. VAR Partnership Overview In brief, below is a quick summary of a normal transaction conducted between Store, Supplier and Customer: __1. Customer orders item from Store __2. Store transfers "dealer cost" amount to Supplier via PayPal, along with customer/order details within 24 hours of purchase. __3. At the same time, Store sends applicable Supplier contact information to Customer. __4. Supplier confirms that it has received both payment and customer information within 2 business days of Store sending information. Supplier will do this via email. __5a. Suppliers selling Ready-Made items must ship them no later than 3 business days after purchase is made, which is 1 business day after Supplier must confirm its receipt of ordering information. __5b. Suppliers selling Custom-Made and/or Built-to-Order items must ship them no later than 10 business days after purchase is made, which is 8 business days after Supplier must confirm its receipt of ordering information. __6. Suppliers must forward a valid tracking number to Store within 48 hours of shipping item. __7. Customer receives goods, and order is completed. All other variables of the VAR partnership between Store and Supplier are covered thoroughly in the previous content of this agreement.
